General Terms & Conditions (GTC)

1. Scope of application

1.1 Divergent terms and conditions of the business partner / customer / supplier shall not apply unless Rohr Consulting & Engineering has explicitly agreed to their validity in writing.

1.2 These General Terms & Conditions (GTC) apply to all contracts for consulting / development services between Rohr Consulting & Engineering, Christianstraße 34, 55130 Mainz, and its customers.

2. Subject matter of the contract

2.1 The subject matter of the contract is the consulting / development services specified in the respective contract.

2.2 The detailed description of the services to be provided results from the respective offer or statement of work.

3. Conclusion of contract

3.1 The contract is concluded by signing a consulting agreement or by written acceptance of an offer by the customer.

3.2 Amendments and additions to the contract must be made in writing.

4. Scope of services and customer’s obligations to cooperate

4.1 Rohr Consulting & Engineering provides the agreed consulting services in accordance with the principles of proper professional conduct.

4.2 The customer undertakes to provide Rohr Consulting & Engineering in good time and in full with all information and documents required for the provision of the consulting / development services.

5. Remuneration and payment terms

5.1 The remuneration for the consulting services is determined by the respective contract.

5.2 All stated prices are net prices and are subject to the applicable value added tax.

5.3 Invoices are payable in full without deduction within 14 days from the invoice date.

6. Liability and Warranty

6.1 Rohr Consulting & Engineering is liable only for damages caused intentionally or by gross negligence.

6.2 Liability for minor negligence is excluded unless material contractual obligations are breached.

6.3 The client must report defects in writing without undue delay after discovering them.

7. Confidentiality

7.1 Rohr Consulting & Engineering undertakes to treat all business and trade secrets of the client that become known in the course of the consulting services as strictly confidential.

7.2 This obligation continues to apply after the contractual relationship has ended.

8. Data Protection

8.1 Rohr Consulting & Engineering verarbeitet personenbezogene Daten des Kunden ausschließlich zur Erfüllung vertraglicher Pflichten und in Übereinstimmung mit den geltenden Datenschutzbestimmungen (insbesondere der DSGVO).

8.2 Personenbezogene Daten werden in einer Datenbank (PostgreSQL) gespeichert und per E-Mail über Microsoft Graph API zur Bearbeitung übermittelt. Die Daten werden technisch und organisatorisch geschützt.

8.4 Der Kunde ist berechtigt, jederzeit Auskunft über seine gespeicherten Daten zu verlangen sowie deren Berichtigung, Löschung oder Einschränkung der Verarbeitung zu beantragen.

9. Term and Termination

9.1 The contract term is defined in the respective agreement.

9.2 Both parties may terminate the contract without notice for good cause.

9.3 Termination must be made in writing.

10. Final Provisions

10.1 Any amendments or additions to these Terms and Conditions must be made in writing.

10.2 If individual provisions of these Terms and Conditions are or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected.

10.3 The law of the Federal Republic of Germany applies, with the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).

10.4 The place of jurisdiction for all disputes arising from the contractual relationship is the registered office of Rohr Consulting & Engineering.
